01Agreement to these terms

These Terms of Service ("Terms") govern your access to and use of the CSPzone website, platform and services operated by RAS Corporate Advisors L.L.C ("RAS", "we", "us" or "our"). CSPzone is a product of RAS Corporate Advisors L.L.C.

By accessing our website, creating an account or using any of our services, you confirm that you have read, understood and agree to be bound by these Terms. If you do not agree, please do not use our website or services.

These Terms should be read together with our Privacy Policy, Cookie Policy, Subscription Terms and Refund & Cancellation Policy, which form part of your agreement with us.

02Who we are

CSPzone is a business setup, compliance and management platform operated by RAS Corporate Advisors L.L.C, a company incorporated in the United Arab Emirates. We provide corporate solutions including business setup, visa facilitation, document coordination, compliance advisory and corporate services, alongside software to help you run and manage your business.

03Eligibility and your account

You must be at least 18 years old and able to enter into a binding contract to use our services. If you use the services on behalf of a company or other entity, you confirm that you are authorised to bind that entity to these Terms.

• You are responsible for keeping your account credentials confidential.
• You are responsible for all activity that takes place under your account.
• You agree to provide accurate, current and complete information and to keep it up to date.
• You must notify us promptly of any unauthorised use of your account.

04Our services

We offer two connected types of service: done-for-you professional services (such as company formation, licensing, visas, tax and compliance) and access to the CSPzone software platform on a subscription basis.

The specific scope, fees and deliverables for professional services are set out in the quotation or engagement we agree with you. Any services outside the agreed scope require a separate written agreement and may incur additional charges.

We may improve, change or discontinue features of the platform from time to time. Where a change is significant, we will make reasonable efforts to let you know.

05Fees and payment

• Payment in advance. Full payment of the agreed fees is required in advance unless otherwise agreed in writing. Work begins once cleared payment and complete, accurate documentation are received.
• Currency and taxes. All payments are made in UAE Dirhams (AED) unless otherwise stated. Any applicable taxes, including VAT, are borne by you.
• Government and third-party fees. Government, free zone and other third-party charges are estimates and are billed as invoiced by the relevant authority. They are separate from our professional fees.
• Subscriptions. Platform subscriptions are billed as described in our Subscription Terms.

Refunds are handled in accordance with our Refund & Cancellation Policy.

06Your responsibilities

You are responsible for providing accurate, complete and truthful information and for submitting the documents we request in good time. Delays caused by incomplete documentation or inaction are not our responsibility.

• Use the services lawfully and only for legitimate business purposes.
• Ensure that any information and documents you provide are genuine and that you are entitled to share them.
• Comply with all applicable laws, regulations and authority requirements.
• Cooperate with reasonable requests needed to deliver your services.

07Timelines and no guarantee of results

All timelines we give are estimates. They may be affected by delays from government authorities, free zone authorities, banks or other third parties.

Approval of applications submitted to authorities, banks or other external entities is subject to their own review and cannot be guaranteed. We will use reasonable professional care and skill, but we do not guarantee any particular outcome that depends on a third party.

08Subscriptions and billing

Access to the CSPzone platform is offered on a subscription basis. Plans, billing cycles, trials, renewals, upgrades, downgrades and cancellation are governed by our Subscription Terms, which form part of these Terms.

09Acceptable use

When using our website and platform, you agree not to:

• Break any applicable law or regulation, or use the services for any unlawful or fraudulent purpose.
• Upload or share content that is unlawful, infringing, harmful or misleading.
• Attempt to gain unauthorised access to the platform, other accounts or our systems.
• Interfere with, disrupt or place undue load on the platform, or attempt to bypass usage limits or security measures.
• Copy, resell, reverse engineer or exploit any part of the platform except as expressly permitted.
• Use the services to send spam or to store or transmit malicious code.

We may suspend or terminate access for any breach of this section.

10Intellectual property

The CSPzone platform, website, software, design, text, graphics, logos and all related intellectual property are owned by RAS Corporate Advisors L.L.C or its licensors and are protected by law. The CSPzone name and logo are our trademarks.

We grant you a limited, non-exclusive, non-transferable right to access and use the platform for your own business purposes during your subscription. You keep ownership of the content and data you upload, and you grant us the limited right to process it in order to provide the services.

11Third-party services and links

The platform may integrate with or link to third-party services, for example payment providers, banks and government portals. We are not responsible for third-party services, their content or their availability, and your use of them may be subject to their own terms.

12Confidentiality

We treat all client information as confidential and will disclose it only where required by law or where you authorise us to do so. We handle personal data in accordance with our Privacy Policy.

13Disclaimers

Our services and platform are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we exclude all warranties that are not expressly stated in these Terms.

Information provided through the website or platform is for general guidance and does not constitute legal, tax, financial or other professional advice on which you should rely without confirming your specific situation with us or a qualified adviser. Regulations change, and you remain responsible for your own compliance decisions.

14Limitation of liability

We are not liable for delays, third-party actions, regulatory changes, or errors caused by inaccurate information you provide.

To the fullest extent permitted by law, our total liability to you for any claim arising out of or in connection with the services is limited to the amount you paid for the specific service that gave rise to the claim. We are not liable for indirect, incidental or consequential loss, or for loss of profit, revenue, data or business.

15Indemnity

You agree to indemnify and hold RAS Corporate Advisors L.L.C harmless from any claims, losses or costs arising from your breach of these Terms, your misuse of the services, or any information or documents you provide that are inaccurate or that you were not entitled to share.

16Suspension and termination

You may stop using the services at any time. Subscription cancellation is handled as described in our Subscription Terms.

We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the security or integrity of the platform. Where reasonable, we will give you notice. Provisions that by their nature should survive termination, including payment, intellectual property, confidentiality, disclaimers and liability, will continue to apply.

17Changes to these terms

We may update these Terms from time to time. When we do, we will change the “Last updated” date above, and where the change is significant we will take reasonable steps to notify you. Continuing to use the services after an update means you accept the revised Terms.

18Governing law and disputes

These Terms are governed by the laws of the United Arab Emirates. Any dispute arising out of or in connection with them shall be subject to the exclusive jurisdiction of the competent courts of the United Arab Emirates.
